Welcome to Referly (formerly Push Lap Growth) ("Referly," "we," "us," or "our"). By accessing or using our website located at https://referly.so (the "Site") or any services provided therein (the "Services"), you ("you" or "User") signify that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Site or Services.
1. Description of Services
Referly provides an affiliate marketing software platform that enables users to track, manage, and discover affiliate marketing opportunities. Our Services include affiliate tracking, performance analytics, commission management, and affiliate network discovery tools. The Services also include "Agency Mode," a feature that allows agencies to manage affiliate programs on behalf of their own clients, subject to the additional terms in Section 5.
2. User Accounts and Usage
When registering for our Services, users may create accounts as either advertisers (merchants) or affiliates. Users must provide accurate and complete information during registration. Each user is responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their account.
3. Affiliate Relationships
Referly acts as a platform facilitator and is not a party to any agreements between advertisers and affiliates. All terms, conditions, and commission structures between advertisers and affiliates should be agreed upon separately between the relevant parties.
4. Affiliate Portals, White-Labeling, and Platform Ownership
Affiliate portals created through or provided as part of the Services, including portals hosted on Referly subdomains and portals served under a customer's own custom domain, are part of, and are operated on, the Referly platform, and remain the property of Referly at all times. This applies regardless of any branding or presentation customization, including configurations in which Referly branding is reduced or not displayed ("white-label" configurations).
White-labeling and branding customization features affect the visual presentation of an affiliate portal only. They do not constitute a transfer of ownership of the portal or the underlying software, a license to the underlying software, or a hosting arrangement independent of Referly, and they do not limit Referly's rights to operate, maintain, secure, update, and evolve the platform.
Referly reserves the right, at its sole discretion, to include, display, modify, or remove platform-level features, functionality, interface and navigation elements, and notices within any affiliate portal, including white-labeled portals and portals served under custom domains, where such elements form part of the operation, functionality, integrity, or interoperability of the Referly platform. Branding customization settings do not guarantee the removal of all platform-level features, functionality, or elements.
Affiliate accounts created or held through any affiliate portal are accounts on the Referly platform. The holder's access to and use of the platform, including any features and functionality the platform makes available to affiliate account holders from time to time, is governed by these Terms and our Privacy Policy.
5. Agency Mode: Permitted Use, Disclosure, and Non-Competition
Agency Mode is a feature of the Services intended for a single, specific purpose: to allow marketing agencies, consultancies, and similar service providers ("Agency Owners") to set up, operate, and manage affiliate programs on behalf of their own clients ("Client Brands") as a managed service. Access to Agency Mode is licensed to you solely for that purpose and is subject to this Section 5 in addition to the rest of these Terms.
5.1 Permitted Use. You may use Agency Mode only to directly manage affiliate programs for Client Brands with whom you have a bona fide service relationship, and only where the affiliate program being managed relates to that Client Brand's own products or services. Each Client Brand's data, affiliates, and program configuration must be maintained within the Services and used only for the purpose of servicing that Client Brand.
5.2 Disclosure Obligation. You must clearly and accurately disclose to each Client Brand, in writing and before or at the time of onboarding, that (a) you are acting as an agency managing that Client Brand's affiliate program, and (b) the affiliate program is operated on third-party software licensed from Referly. You must not represent to any Client Brand, affiliate, or other third party that the Services, the platform, or any part of the underlying software is your own proprietary product, that it was built by you, or that you own it. Nothing in Agency Mode, including branding customization or white-label configurations, constitutes permission to make such a representation. Section 4 (Affiliate Portals, White-Labeling, and Platform Ownership) continues to apply in full to Agency Mode.
5.3 No Competing Product or Service. You may not use Agency Mode, or any access, data, documentation, credentials, or insight obtained through it, to build, launch, operate, market, or assist any third party in building, launching, operating, or marketing a product or service that competes with Referly. Without limiting the foregoing, you may not:
- resell, sublicense, rent, lease, or otherwise offer the Services (or access to them) to third parties as a self-serve, standalone, or software-as-a-service product, whether under your own brand or any other brand;
- position, package, price, or market your offering as affiliate marketing software, an affiliate tracking platform, or an affiliate program platform, rather than as an agency service;
- onboard entities as "clients" where the substance of the arrangement is providing them with access to affiliate marketing software rather than agency management services;
- use Agency Mode as infrastructure, backend, or a reference implementation for a competing platform, or to replicate, benchmark, or reverse engineer the Services for competitive purposes; or
- act as an intermediary, reseller, or nominee for any person or entity that is prohibited under this Section 5.
5.4 Bona Fide Agency Requirement. Agency Mode is available only where the substance of your relationship with each Client Brand is the provision of affiliate program management services. Referly may, at its sole discretion, assess whether an arrangement is a bona fide agency relationship, taking into account factors including how the arrangement is marketed and priced, the degree of management services actually provided, and the disclosures made to the Client Brand.
5.5 Verification and Enforcement. Referly may request reasonable information to verify compliance with this Section 5, including a list of Client Brands, the disclosures provided to them, and a description of how your offering is marketed. Failure to provide such information within a reasonable time, or breach of any part of this Section 5, is a material breach of these Terms and may result in immediate suspension or termination of Agency Mode access, your account, and any associated accounts or programs, without refund, in addition to any other remedies available to Referly at law or in equity. Referly's rights under this Section 5 are in addition to, and do not limit, its rights under Section 10 (Chargebacks, Refunds, and Service Denial).
5.6 Survival. Your obligations under Sections 5.2 and 5.3 survive termination or expiration of your access to Agency Mode and of these Terms.
6. User Data Collection
In order to use our Services, we collect certain personal information from users, including name, email, payment information, and tracking data necessary for affiliate marketing operations. By using the Site or Services, you consent to the collection and use of this information in accordance with our Privacy Policy.
7. Non-Personal Data Collection
We may also collect non-personal information through the use of web cookies and tracking pixels. This information is used to improve the functionality and user experience of the Site and Services, as well as to facilitate accurate affiliate tracking. By using the Site or Services, you consent to the use of cookies in accordance with our Privacy Policy.
8. Privacy Policy
Please review our Privacy Policy located at https://referly.so/privacy-policy to understand how we collect, use, and disclose information about you.
9. Prohibited Activities
Users may not:
- Manipulate tracking data or commission calculations
- Engage in fraudulent or deceptive practices
- Violate any applicable laws or regulations related to affiliate marketing
- Attempt to reverse engineer or compromise the platform's tracking systems
- Resell, sublicense, or otherwise make the Services available to third parties as a standalone software product, or use the Services to build, operate, or market a competing product or service (see Section 5)
- Misrepresent the Services, or any part of the underlying software, as the user's own proprietary product
10. Chargebacks, Refunds, and Service Denial
Users who initiate chargebacks or receive refunds for subscription plans that they failed to properly cancel or utilize may be denied further access to our Services. We reserve the right to deny service to any user at our sole discretion, including but not limited to users who have engaged in payment disputes, chargebacks, or refund requests for services they did not properly engage with. Once service is denied, the user will not be permitted to create new accounts or access our platform through any means.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
12. Updates to the Terms
We reserve the right to update or modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting on the Site. Users will be notified of any material changes via email. Your continued use of the Site or Services after the posting of any changes constitutes acceptance of those changes.
